Nabilah Karbal
Of Counsel
Nabilah Karbal is of counsel who specializes in commercial transactions, technology (including AI/ML transactions and compliance), investments, and regulatory compliance.
Ms. Karbal has extensive experience representing B2B and B2C technology firms at different levels of the growth phase, including several startups. Her extensive experience includes advising on best practices, contractual risk management, creating and negotiating various template agreements, including SaaS agreements, drafting internal policies establishing guidelines for compliance with applicable laws, including data privacy and consumer protection.
Ms. Karbal has represented clients on high value contracts and projects, including representing a client on a software licensing agreement with an estimated value of over USD 1 billion, and due diligence for a 30 million EUR acquisition between two NASDAQ listed firms.
Concerning AI/ML, Ms. Karbal advises on compliance and best practices for both use of AI in company operations and consumer protection when licensing products that use AI, and her experience includes data licensing agreements for training AI/ML.
Ms. Karbal’s experience is comprised of both in-house and law firm client work. Bringing a unique perspective on advisory services, Ms. Karbal understands the need to balance the company’s interests, goals, and roadmap with regulatory compliance, having worked in-house as the most senior attorney and General Counsel at four firms with different growth phases. Ms. Karbal also worked as an AML compliance officer (EU Money Laundering Reporting Officer) for private funds.
In addition to compliance and commercial law, Ms. Karbal holds substantial experience in private funds, fund formation, and fund compliance. Her experience includes establishing compliance programs for startup funds and creating policies and procedures for funds.
Ms. Karbal’s work experience expands several continents, as she has worked in the European Union, the US, and the UAE.
Notable experience
Represented clients regarding AI matters, including drafting and negotiating a data licensing agreement for training ML trading algorithms.
Appointed acting head of legal department at high-growth B2B startup software licensing group (sell-side) and charged with restructuring legal department and creating commercial template agreements.
Drafting portions of a due diligence report for 30M euro acquisition of shares between two public B2B companies listed on the NASDAQ.
Successfully negotiated software licensing agreement with anticipated royalties’ revenue of USD 1 bn.
Successfully managed and actively contributed to efforts and responses to a regulator’s compliance examination relating to anti-money laundering.
